The scheme, involving a wholly owned subsidiary merger, carries an appointed date of 1 April 2025, with no consideration to be issued. The Transferor Company will stand dissolved without winding up upon filing of the certified order copy with the Registrar of Companies. All assets, liabilities, employees, and pending proceedings of Sundaram Auto Components Limited will vest in TVS Motor Company Limited.
